An NNN agreement (Non-Disclosure, Non-Use, Non-Circumvention) is a contract signed under Chinese law that stops a manufacturer from sharing your product design, using it to make copies, or going around you to sell directly to your customers or suppliers. Unlike a standard NDA, it is written in Chinese, enforceable in a Chinese court, and specifically closes the two gaps a Western-style NDA leaves open: the factory using your design for its own products, and the factory approaching your buyers directly. If you are sending a Chinese manufacturer a product design, mould, or formulation before you have a signed purchase order, you need one.

Why doesn't a normal NDA protect you in China?

A standard NDA only stops disclosure, meaning the factory technically cannot show your design to a third party, but it does not stop the factory itself from manufacturing and selling a near-identical product once your relationship ends, and it does little to stop the factory contacting your distributors directly. An NNN closes both gaps, and because it is drafted for enforcement inside China rather than in a Western court, it is the version that actually holds up if you ever need to act on it.

What makes an NNN agreement actually enforceable in China?

Four things matter more than the clauses themselves: the agreement needs to be in Chinese as the governing language (a English-only version is much harder to enforce), it needs to specify a Chinese court or arbitration body rather than your home country's courts, it needs the factory's official company chop (seal) rather than just a signature, and it needs to name the specific legal entity that owns the factory, not just a sales agent or trading company you have been emailing. A template downloaded off the internet that skips any of these four is largely decorative.

What does a China NNN agreement template usually miss?

Generic templates rarely specify a concrete, defensible damages figure, which matters because Chinese courts want a stated amount rather than an open-ended claim. They also often forget to name every affiliated factory the manufacturer might subcontract to, leaving a loophole where production quietly shifts to a related company outside the agreement. Frequently asked questions

Is an NNN agreement the same as an NDA?

No. An NDA only addresses confidentiality. An NNN adds Non-Use (the factory cannot manufacture your design for anyone else, including themselves) and Non-Circumvention (the factory cannot bypass you to sell to your customers or buy from your suppliers directly).

Do I need an NNN agreement for every supplier?

You need one before sharing any proprietary design, mould, formulation, or packaging artwork with a factory you have not signed a production agreement with yet. For off-the-shelf products with no custom IP involved, the risk is lower, though a basic NNN is still good practice.

Will a Chinese factory actually sign an NNN agreement?

Reputable manufacturers that work with international brands regularly are generally comfortable signing one, since larger factories are used to it. How much does an NNN agreement cost to put in place?

Can I use the same NNN agreement for a Vietnam manufacturer?

No — Vietnam has its own legal system and contract requirements, so a China-specific NNN will not transfer directly. The same underlying protections (non-use, non-circumvention, local governing law and language) still apply, just drafted for Vietnamese enforcement instead.
